{"id":1974,"date":"2007-09-27T21:07:57","date_gmt":"2007-09-28T04:07:57","guid":{"rendered":"http:\/\/www.bloodhoundrealty.com\/BloodhoundBlog\/?p=1974"},"modified":"2007-09-29T16:17:18","modified_gmt":"2007-09-29T23:17:18","slug":"active-rain-wuz-robbed","status":"publish","type":"post","link":"https:\/\/www.bloodhoundrealty.com\/BloodhoundBlog\/1974\/active-rain-wuz-robbed\/","title":{"rendered":"Active Rain Wuz Robbed"},"content":{"rendered":"<p>There are so many ways to play the puns here.\u00a0 Who Moved my Rain?\u00a0 Move before you get Rained Upon.\u00a0 It&#8217;s Rainin&#8217; Moves.\u00a0 All pretty goofy.<\/p>\n<p>In the interest of full disclosure, <a title=\"bhb\" href=\"http:\/\/www.bloodhoundrealty.com\/BloodhoundBlog\/?p=1973\">I&#8217;m biased but so is Greg Swann<\/a>.\u00a0 Greg calls Active Rain stoopid technology, I call it useful,\u00a0 Again, my <strong>interest in Active Rain&#8217;s success is financial<\/strong>; I write to and market to the Realtor channel.<\/p>\n<p><a title=\"ar\" href=\"http:\/\/activerain.com\/blogsview\/218498\/Regarding-Today-s-Inman\">Move&#8217;s shuck and jive play for Active Rain is indefensible<\/a>.\u00a0 If Move were a home buyer, they would be entitled to material information in the interest of full disclosure.\u00a0 Real estate agents call this the inspection or contingency period.\u00a0 In the corporate finance\/M&#038;A world, it is referred to as the due diligence period.\u00a0 <strong>Move had every right to reverse it&#8217;s offe<\/strong>r to purchase Active Rain if it discovered something during the due diligence period.<\/p>\n<p><strong>Here&#8217;s where Move screwed up; they started a competing business while fleecing the boys of their member roster and competitive points system plan.<\/strong>\u00a0 That is referred to in the lawsuit as the &#8220;confidential information&#8221;.\u00a0 They placed contingencies upon the purchase:\u00a0 Active Rain was instructed to cease all merger and acquisition opportunities, revenue opportunities, and financing plans.\u00a0 Those very actions, combined with a simultaneous push to present a competing product, suggest that <strong>Move perceived\u00a0 Active Rain as a competitive threat.\u00a0<\/strong> It used the carrot of its deep pockets as a tool to paralyze the industry leader while developing a competing product.<\/p>\n<p><strong>Are the boys at Active Rain insane to think that the platform is worth $33 million?\u00a0<\/strong> I think so but I&#8217;m no investment banker (and I clearly have no experience in valuations of tech start-ups).\u00a0 The figure, however, was set by the perpetrator of this scheme.\u00a0 Move played the old <a title=\"nigerian\" href=\"http:\/\/www.snopes.com\/crime\/fraud\/nigeria.asp\">Nigerian e-mail scam<\/a> on Active Rain.\u00a0 Naivete doesn&#8217;t make the victim any less injured nor does it make the scam artist any less culpable.\u00a0 That means you can&#8217;t say &#8220;What are they stupid to think we&#8217;d pay them that much? &#8221; as your defense.<\/p>\n<p>A jury trial will be a nightmare for Move, especially if that jury is in California.\u00a0 Twelve reasonably hard-working men and <a href=\"https:\/\/www.bloodhoundrealty.com\/BloodhoundBlog\/1974\/active-rain-wuz-robbed\/#more-1974\" class=\"more-link\">Read more<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>There are so many ways to play the puns here.\u00a0 Who Moved my Rain?\u00a0 Move before you get Rained Upon.\u00a0 It&#8217;s Rainin&#8217; Moves.\u00a0 All pretty goofy.
